1. Acceptance of Terms

By accessing and using UXPilot's website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use our services.

These terms constitute a legally binding agreement between you ("User" or "you") and UXPilot ("Company," "we," "us," or "our"). We reserve the right to modify these terms at any time, and such modifications will be effective immediately upon posting on this page.

Your continued use of our services following the posting of any changes constitutes acceptance of those changes. We encourage you to review these terms periodically to stay informed about your rights and obligations.

2. Description of Services

UXPilot provides UX/UI design consultation services, user experience research, interface design, prototyping, usability testing, and related digital product development services. Our services include but are not limited to:

• User experience strategy and planning
• User interface design and development
• Usability testing and user research
• Wireframing and prototyping
• Design system creation and maintenance
• Accessibility compliance consultation
• Training and workshops

All services are subject to the specific terms outlined in individual service agreements or contracts entered into between UXPilot and the client. These general terms supplement but do not replace project-specific agreements.

3. User Accounts and Registration

To access certain features of our services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Update your information to keep it accurate and current
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that we believe have violated these terms or engaged in fraudulent or abusive behavior.

4. Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these terms. You agree not to use the services:

• In any way that violates applicable laws or regulations
• To transmit, or procure the sending of, any advertising or promotional material without our written consent
• To impersonate or attempt to impersonate UXPilot, our employees, or other users
• To engage in any other conduct that restricts or inhibits use by others
• To interfere with or disrupt the services or servers connected to the services
• To attempt to gain unauthorized access to any portion of the services

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing the offending user content, suspending or terminating the account, and reporting to law enforcement authorities.

5. Intellectual Property Rights

The services and their original content, features, and functionality are owned by UXPilot and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The UXPilot name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of UXPilot.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the materials on our services without our express written consent. You may not:

• Use our logo or branding without permission
• Create competing services using our content or methodology
• Reverse engineer or attempt to extract our source code
• Use automated systems to extract data without authorization

Upon project completion, unless otherwise specified in writing, UXPilot retains ownership of all design methodologies, processes, and general knowledge developed during the engagement, while clients receive usage rights to project-specific deliverables.

6. Client Responsibilities

Clients engaging UXPilot's services agree to:

• Provide timely, accurate, and complete project information
• Make designated personnel available for project meetings and reviews
• Provide access to necessary systems, documentation, and stakeholders
• Respond to requests for information or approval within agreed timeframes
• Provide necessary content, images, and brand assets in required formats
• Make timely payments according to agreed payment schedules
• Obtain necessary permissions for user research involving third parties

Clients are responsible for ensuring that all content provided to UXPilot does not infringe upon third-party intellectual property rights and complies with applicable laws and regulations.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. By using our services, you consent to the collection and use of information in accordance with our Privacy Policy.

We implement appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

For projects involving user research or testing, we implement additional safeguards to protect research participant data and ensure compliance with applicable privacy laws, including obtaining appropriate consent and anonymizing sensitive information.

8. Payment Terms and Refunds

Payment terms are specified in individual project agreements. Generally, we require:

• A deposit or retainer before project commencement
• Payment of invoices within thirty (30) days of invoice date
• Payment for additional work requested outside the original scope
• Payment in the currency specified in the project agreement

Refund policies vary based on the type of service and stage of project completion. Refund requests must be submitted in writing and will be evaluated on a case-by-case basis. We typically do not provide refunds for work already completed or for projects terminated after the initial consultation phase.

Clients are responsible for all taxes, duties, and assessments arising from or relating to the services, except for taxes based on UXPilot's net income.

9. Limitation of Liability

To the fullest extent permitted by applicable law, UXPilot and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the services.

Our total liability for any claim arising out of or relating to these terms or the services shall not exceed the amount paid by you to UXPilot for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

We do not warrant that the services will meet your specific requirements or that the services will be uninterrupted, secure, or error-free. Any advice or information obtained through our services does not create any warranty not expressly stated in these terms.

10. Termination

Either party may terminate these terms and the services at any time for any reason. Upon termination:

• Your right to use the services will cease immediately
• All provisions that should survive termination shall survive
• You must pay for all services rendered up to the termination date
• We will provide you with a final invoice for all outstanding amounts

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these terms. Upon termination, your right to use the services will cease immediately.

11. Governing Law and Jurisdiction

These terms and conditions are governed by and construed in accordance with the laws of the Republic of Philippines, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the services shall be resolved through binding arbitration in Cebu City, Philippines, in accordance with the arbitration rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).

If any provision of these terms is held to be invalid or unenforceable by a court, the remaining provisions of these terms will remain in full force and effect. Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the services must be filed within one (1) year after such claim or cause of action arose or be forever barred.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these terms at any time. If a revision is material, we will try to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the services.

We encourage you to review these terms periodically to stay informed about our practices and policies. Your continued use of our services after any changes indicates your acceptance of the updated terms.
